1. Introduction

Welcome to OmniChat AI. These Terms of Service ("Terms") govern your access to and use of OmniChat AI's website, services, and applications (collectively, the "Services"). OmniChat AI provides autonomous AI agents that see, hear, understand, and act independently ("AI Agents"). These Terms apply to all visitors, users, and others who access or use the Services.

2. Use of Services

  • Use the AI Agents for any illegal, harmful, fraudulent, infringing, or objectionable purposes

3. Intellectual Property Rights

3.1 OmniChat AI's Intellectual Property

The Services and their original content, features, and functionality are and will remain the exclusive property of OmniChat AI and its licensors. The Services are protected by copyright, trademark, and other laws of both the United States and foreign countries.

3.2 User Content

You retain all rights to any content you submit, post, or display on or through the Services ("User Content"). By submitting, posting, or displaying User Content on or through the Services, you grant OmniChat AI a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content in connection with providing and improving the Services.

3.3 AI-Generated Content

Content generated by our AI Agents ("AI-Generated Content") may be subject to intellectual property rights. OmniChat AI does not claim ownership of AI-Generated Content, but you agree to grant OmniChat AI a license to use, store, and analyze AI-Generated Content to improve our Services.

4. Privacy and Data Protection

Our Privacy Policy, available at https://tryomni.chat/privacy, describes how we collect, use, and share information about you when you use our Services. By using our Services, you agree to the collection, use, and sharing of your information as described in the Privacy Policy.

5. Subscription and Payment

5.1 Subscription Plans

OmniChat AI offers various subscription plans for access to the Services. The features and pricing of each subscription plan are described on our website. We reserve the right to modify, terminate, or otherwise amend our offered subscription plans.

5.2 Payment

You agree to pay all fees associated with your subscription plan. All fees are exclusive of taxes, which you are responsible for paying. Payment must be made by the methods specified on our website. You authorize OmniChat AI to charge your chosen payment method for all fees incurred.

5.3 Refunds

Refunds are provided in accordance with our Refund Policy, available on our website. Generally, we do not provide refunds except in cases of service unavailability or as required by law.

6. Limitation of Liability

To the maximum extent permitted by law, OmniChat AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your access to or use of or inability to access or use the Services
  • Any conduct or content of any third party on the Services
  • Any content obtained from the Services
  • Unauthorized access, use, or alteration of your transmissions or content
  • Actions or decisions made based on AI-Generated Content

7. Termination

OmniChat AI may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination, your right to use the Services will immediately cease.

8. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in Delaware.

9. Changes to Terms

OmniChat AI reserves the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
